Due Diligence in Corporate Acquisitions

Depending on whether we are representing the buyer or the seller, the duties involved in performing due diligence differ:

  • Due Diligence for Buyers: if you are purchasing a business, we will conduct a thorough corporate review and analysis to help determine whether or not your investment is sound and whether additional action will have to be taken before proceeding with the purchase. This involves reviewing the company’s contracts, financial statements, licenses, minute books and more.
  • Due Diligence for Sellers: if you are selling a business, we will conduct a review of the purchasing business to make sure they can afford to purchase the business. Review and drafting of letters of intent, purchase and sale agreements, and security agreements.

Letters of Intent

Many corporate acquisitions are initiated over casual conversations where the two parties tentatively agree to a vague set of terms. The letter of intent is a non-binding document that gives the two parties an opportunity to agree to more specific terms regarding the price, timing and manner of the transaction. It is a precursor to a purchase agreement.
